BUILDING AREA AND RELATED BUILDING RIGHT TO CONSTRUCT AN EDIFICE IN THE AREA CALLED
"SPINA 2"
(CALL FOR INTEREST TO PURCHASE)

INVITATION TO SUBMIT STATEMENT OF INTEREST

In purchasing a plot of land for building, including relevant building rights for the construction of premises with a gross building area between 35,000 and 55,000 square metres.

1. SUBJECT:
The City of Turin (Italy) is to instigate private negotiations for the sale of building rights in the area of the city known as Spina 2, together with a plot of building land with a maximum surface area of about 7,000 square metres. Ownership will be transferred for the purpose of constructing a tower-shaped building. The area at stake is in a highly urbanised, prestigious part of the city about a kilometre from the historical centre of Turin. It is also adjacent to Porta Susa Railway Station where, in 2006, a high-speed train connection to Milan, Turin Caselle and Milan Malpensa airports will be put into operation. Access to the motorway is 2 kilometres away.
Through this project, aimed at consolidating/introducing highly qualified activities which will further stimulate economic growth in the city and overhaul and restructure the production system in Turin, the City wishes to serve the public interest.
The City of Turin wishes to receive and evaluate statements of interest concerning the purchase of the building rights and relative land from construction companies and operators in the economic sector. Such companies and operators must be in possession of the requirements indicated in paragraph 2 herein, and must be committed to providing a construction in compliance with the general features outlined in the paragraph 3.

2. SUBJECTIVE REQUIREMENTS FOR PARTICIPATION:
Any parties who submit proposals must be legally registered companies with qualified experience at a European level for "added value" activities, showing highly skilled personnel and demonstrating their capacity for strategic competition at European level in the relative field.

3.GENERAL FEATURES OF THE PROJECT:
Any statement of interest implies that the party submitting it accepts the following general features pertaining to the project to be carried out in the above-mentioned area:
  • The construction of a building having a gross building area between 35,000 and 50,000 square metres aimed at housing the headquarters/offices of the company submitting the proposal or of other companies, provided that they belong to the same group (holding). Any headquarters/offices shall employ no fewer than 1,000 employees working for the same group;
  • any proposal shall be aimed at consolidating and/or introducing high quality economic activities in the area, which will lead to raising employment levels in Turin and will also contribute to restructuring the area by means of interventions boasting high architectural value;
  • as regards the high quality of the intervention, an international selection process shall take place in order to choose an experienced, world-known architect.

4. ADDITIONAL INFORMATION:
It is hereby made known that the project at stake was set up as a result of a preliminary statement of interest which was submitted to the municipality of Turin by the Sanpaolo IMI group.
It is also hereby made known that the City of Turin’s General Town-planning Scheme, which is currently being set up, provides for the construction of another tower-shaped building in the Spina 2 area. This building is to have an approximately similar gross building area.
The municipality of Turin reserves the right, during the subsequent negotiation phase, to request a more detailed proposal regarding the project. Any such proposal should contain details pertaining to the features of the project and its impact on Turin and should also indicate the minimum value of the building rights and the relative building plot.

5. PARTICIPATION PROCEDURE:
Any interested parties shall demonstrate their interest in the purchase by submitting their statements of interest in a sealed envelope by and no later than 10.00 am on December 15, 2004 to the Ufficio Protocollo Generale della Città di Torino (City of Turin Official Protocol Office) – No. 1, Piazza Palazzo di Città 1 – 10122 Turin, Italy. The envelope shall bear the name of the party submitting the proposal and the following heading: “Contiene manifestazione di interesse per diritti edificatori Spina 2”. (“This envelope contains a statement of interest in the building rights in the Spina 2 area”). The envelope may be hand-delivered to the City of Turin Protocol Office, during opening hours and by the deadline indicated above. It is hereby made known that the opening hours of the City of Turin Protocol Office are the following: 08.00 to 16.00 from Monday to Friday. The delivery of the envelope, which shall be carried out according to the deadline and procedure herein indicated, is the responsibility of the party submitting the proposal. The sender shall accept all risks in case the envelope should not reach its destination safely by the expiry date for submission for any reason whatsoever.

6. DOCUMENTS TO BE PROVIDED:
Any statement of interest shall contain explicit acceptance of the minimum general features concerning the project as set out in the paragraph 3 above, and shall be underwritten and signed by the legal representative of the party submitting the proposal. The statement of interest should also be accompanied with the following documents:
  1. a declaration that the party submitting the proposal is in full possession of the requirements set out in Point 2 herein ;
  2. a cadastral survey from the Chamber of Commerce or, if the submitting party is a foreigner operator, a registration document from the Commercial and Professional Registers of the country where its headquarters are located, or rather a declaration containing a list of the company’s current administrators and auditors (where they exist), including all their personal data and the duration of their office;
  3. a declaration to the effect that the submitting party’s company is not undergoing any procedures relating to liquidation, receivership or bankruptcy in any shape or form or that it is not, in any way, insolvent or about to cease its activity, or that it currently finds itself in any kind of situation whatsoever which would involve the risk of any of the aforementioned circumstances;
  4. a brief introductory report concerning the submitting party, which should include the company’s results for the last three financial years, as well as a description of the company’s structure and organisation and the number of employees during the last three years;
  5. a brief description and illustration of the proposal pertaining to the project – preferably a maximum of ten pages.
The documents referred to in points (a), (b) above (apart from the cadastral survey), as well as points (c), (d) and (e) shall be presented either in Italian or English and shall be underwritten and signed by the legal representative of the submitting party.

7. FINAL PROVISIONS:
The publication of the present notice and the receipt of the Statements of Interest by the City of Turin do not imply that the City of Turin is in any way constrained or obliged to proceed to a sale with regard to the parties who have demonstrated their interest in the purchase, nor do they imply that any such parties have any right to any kind of action whatsoever on the part of the City of Turin.
The present notice is an invitation to submit a statement of interest and is not an invitation to submit a tender, in accordance with art. 1336 of the Italian Civil Code, nor is it a solicitation of public savings in accordance with arts. 94 ss. Italian decree laws.
All documents received will not be returned and will be handled according to the Italian laws pertaining to privacy (L. 675/96 e s.m.i).
The present notice and the procedures herein described are subject to regulation under Italian law. The present text takes precedence over any other text whatsoever which might be published in a foreign language. Any interested parties who should require further clarification are directed to the resolutions of the Turin City Council No. 2004 06377/08 which were approved on 13.09.04.
